1. PURPOSE AND INCORPORATION INTO THE RESERVATION AGREEMENT

This Cancellation, Rescheduling & Refund Policy (“Policy”) governs cancellations, refunds, rescheduling requests, and related payment matters for reservations made with The Gathering Nook (“The Gathering Nook,” “Company,” “we,” “us,” or “our”).

This Policy is incorporated into and forms a material part of the customer’s reservation agreement, booking confirmation, invoice, checkout terms, and/or other agreement governing the purchase of services from The Gathering Nook (collectively, the “Reservation Agreement”).

By submitting a reservation and making payment, the customer (“Customer,” “you,” or “your”) acknowledges that the Customer has had an opportunity to review this Policy, understands its terms, and agrees to be legally bound by it.

If there is a conflict between this Policy and another written agreement signed by the Customer and an authorized representative of The Gathering Nook, the signed agreement will control to the extent of the conflict.

2. RESERVATIONS ARE CONTRACTUAL COMMITMENTS

A reservation with The Gathering Nook is a commitment for a specific date, time, location, Nook selection, guest capacity, and requested services and enhancements.

Once a reservation is confirmed and payment has been successfully processed, The Gathering Nook may immediately begin allocating resources and incurring expenses associated with the reservation, including, without limitation:

  • reserving and removing the selected date and time from availability;

  • scheduling personnel;

  • planning and preparing the Nook setup;

  • purchasing or reserving supplies and materials;

  • purchasing or reserving customized or event-specific items;

  • coordinating third-party vendors or service providers;

  • arranging food or other pre-made enhancements, when applicable;

  • obtaining or coordinating permits, approvals, or location requirements, when applicable;

  • preparing décor and styling elements;

  • performing administrative and logistical work specific to the reservation; and

  • declining other inquiries or reservations for the same date and time.

Accordingly, cancellation of a confirmed reservation may cause The Gathering Nook to incur losses that are difficult to determine precisely in advance.

The Customer expressly acknowledges that the cancellation terms contained in this Policy are a material condition of the Reservation Agreement.

3. WHEN A RESERVATION BECOMES BINDING

An inquiry, consultation request, quote, proposal, availability request, or draft booking does not constitute a reservation and does not obligate The Gathering Nook to hold a date.

A reservation becomes confirmed and binding only when:

  1. The Customer has completed the required booking or reservation process;

  2. The Customer has affirmatively accepted the applicable Reservation Agreement and/or booking terms; and

  3. The required payment has been successfully processed and accepted.

The reservation date and time are not guaranteed until the reservation has been confirmed by The Gathering Nook.

A payment that is declined, reversed, disputed, canceled, or otherwise not successfully received does not constitute a completed reservation.

4. CUSTOMER'S RIGHT TO CANCEL WITHIN 24 HOURS

The Gathering Nook provides a limited 24-hour cancellation period as a customer accommodation.

A Customer may cancel a confirmed reservation within 24 hours after the date and time the Customer's initial reservation payment is successfully processed.

To qualify for cancellation under this section, the Customer must submit the cancellation request within the applicable 24-hour period using one of the following methods:

The cancellation is effective when The Gathering Nook receives the cancellation notice.

If the Customer properly cancels within the 24-hour cancellation period, The Gathering Nook will refund the amount eligible for refund, less any payment-processing fees or other transaction charges actually incurred by The Gathering Nook that are not refunded to The Gathering Nook by its payment processor.

The 24-hour cancellation period is measured from the actual timestamp of successful payment processing and is not measured from the date of the event.

5. CANCELLATIONS AFTER THE 24-HOUR PERIOD

After the expiration of the 24-hour cancellation period, the Customer may cancel the reservation; however, payments made toward the reservation are non-refundable, subject to any express exception contained in this Policy or required by applicable law.

The Customer acknowledges that, after the 24-hour period, The Gathering Nook may have committed resources, declined other bookings, purchased or reserved materials, coordinated third-party services, and performed preparation specifically for the Customer's reservation.

The Customer agrees that the applicable cancellation charge is intended to compensate The Gathering Nook for losses, costs, administrative expenses, lost booking opportunities, preparation, resource allocation, and other damages associated with the cancellation and is not intended to punish the Customer.

To the extent applicable under Georgia law, the parties intend the amounts retained under this Policy to constitute a reasonable allocation of anticipated or actual damages associated with cancellation and not an unenforceable penalty.

Nothing in this Policy shall require the Customer to pay an amount that applicable law prohibits The Gathering Nook from collecting.

6. NO REFUND FOR FAILURE TO USE THE RESERVATION

A Customer who fails to appear for a reservation, arrives after the scheduled service period, is unable to access the selected location, or otherwise fails to use the reserved services for reasons attributable to the Customer will not be entitled to a refund.

Such circumstances include, without limitation:

  • failure to appear;

  • arriving after the scheduled reservation period;

  • failure to provide required access to the location;

  • failure to comply with applicable location rules;

  • failure to obtain a required customer-side authorization or permission;

  • failure to provide required information;

  • voluntarily abandoning the reservation after setup has begun; or

  • any other Customer-caused circumstance preventing The Gathering Nook from providing the reserved services.

The reservation remains subject to the cancellation and rescheduling terms contained in this Policy.

7. RESCHEDULING

The Gathering Nook understands that circumstances sometimes change and may, in its discretion, permit a Customer to reschedule a reservation.

A rescheduling request does not automatically create a right to a new date.

Any rescheduling is:

  • subject to availability;

  • subject to the applicable package and service terms;

  • subject to location availability and restrictions;

  • subject to any applicable permit or authorization requirements;

  • subject to any difference in pricing;

  • subject to additional costs caused by the date change; and

  • subject to confirmation by The Gathering Nook.

The Gathering Nook will make reasonable efforts to accommodate a rescheduling request when possible but does not guarantee that the originally selected Nook, location, date, time, package, vendor, enhancement, or pricing will be available on the requested new date.

If the replacement date has a higher applicable rate, the Customer must pay the difference before the reservation is transferred to the new date.

If the replacement date has a lower applicable rate, any credit or adjustment will be determined by The Gathering Nook in accordance with its then-current policies and the circumstances of the rescheduling.

A Customer may not treat a denied rescheduling request as a cancellation that creates a right to a refund.

8. WEATHER AND OUTDOOR CONDITIONS

Because The Gathering Nook provides outdoor setups, weather and environmental conditions may affect the ability to safely provide services.

The Gathering Nook may postpone, modify, relocate, reschedule, or cancel a reservation when weather or environmental conditions create an unreasonable safety risk or make the scheduled setup impracticable.

Weather conditions may include, without limitation:

  • severe thunderstorms;

  • lightning;

  • high winds;

  • flooding;

  • severe weather warnings;

  • extreme temperatures;

  • hazardous ground conditions;

  • conditions affecting safe setup or teardown; or

  • other environmental conditions that The Gathering Nook reasonably determines may compromise safety or the integrity of the Nook or its equipment.

A weather determination will be made by The Gathering Nook based on reasonably available weather information and the actual conditions affecting the scheduled location and setup.

The Gathering Nook will make reasonable efforts to provide advance notice when circumstances permit.

When The Gathering Nook determines that weather requires cancellation or postponement for safety reasons, the Company may offer the Customer a rescheduled date, subject to availability.

If The Gathering Nook cannot provide the reserved services and no mutually acceptable rescheduled date is available, The Gathering Nook will provide the refund, credit, or other remedy expressly required under the applicable Reservation Agreement or applicable law.

9. LOCATION, PARK, PERMIT, OR THIRD-PARTY RESTRICTIONS

The Customer understands that outdoor reservations may be subject to rules, restrictions, closures, permit requirements, capacity limitations, or other requirements imposed by parks, municipalities, property owners, venues, governmental authorities, or other third parties.

The Gathering Nook does not guarantee that a third-party location will remain available or that its rules, policies, hours, access requirements, or permit requirements will remain unchanged after a reservation is made.

If a third-party location becomes unavailable or prohibits the scheduled setup, The Gathering Nook will make reasonable efforts to:

  1. identify an acceptable alternative location;

  2. modify the reservation when reasonably possible; or

  3. reschedule the reservation, subject to availability.

If The Gathering Nook cannot reasonably provide the reserved services because of a third-party location restriction, the available remedy will be determined under the applicable circumstances and Reservation Agreement.

The Customer shall not be entitled to a refund merely because the Customer's preferred location becomes unavailable if The Gathering Nook is able to provide a reasonably comparable alternative or otherwise fulfill the reservation in accordance with the Reservation Agreement.

10. THIRD-PARTY VENDORS AND CURATED ENHANCEMENTS

Certain optional enhancements may involve third-party businesses, licensed food providers, florists, balloon professionals, photographers, or other independent vendors.

Once The Gathering Nook has purchased, ordered, reserved, or otherwise committed to a third-party product or service specifically for a Customer's reservation, the Customer may be responsible for the non-refundable or non-recoverable cost incurred by The Gathering Nook, subject to applicable law and the terms of the Reservation Agreement.

The Gathering Nook will not knowingly promise a refund for a third-party product or service that the Company cannot recover from the applicable vendor.

Where reasonably possible, The Gathering Nook may substitute a comparable product, service, or enhancement when the originally selected item becomes unavailable.

11. CANCELLATION BY THE GATHERING NOOK

The Gathering Nook reserves the right to cancel or terminate a reservation when necessary because of circumstances including, but not limited to:

  • safety concerns;

  • severe or hazardous weather;

  • location closure or loss of access;

  • permit or regulatory issues;

  • equipment failure;

  • inability to safely perform the services;

  • unavailability of essential personnel;

  • circumstances beyond the Company's reasonable control;

  • Customer conduct that creates a safety concern;

  • material violation of the Reservation Agreement; or

  • other circumstances that materially prevent The Gathering Nook from providing the reserved services.

When cancellation is caused by circumstances within The Gathering Nook's reasonable control and the Company is unable to provide the reserved services, The Gathering Nook will provide an appropriate remedy, which may include rescheduling or a refund for services that cannot be provided.

The Gathering Nook will not be liable for losses that are not legally recoverable under applicable law.

12. FORCE MAJEURE

The Gathering Nook shall not be considered in breach of the Reservation Agreement and shall not be liable for delay, modification, suspension, or inability to perform caused by circumstances beyond the Company's reasonable control.

Such circumstances may include, without limitation:

  • acts of God;

  • severe weather;

  • natural disasters;

  • fire;

  • flood;

  • governmental orders;

  • civil emergencies;

  • public health emergencies;

  • acts of terrorism;

  • war;

  • civil unrest;

  • utility failures;

  • transportation disruptions;

  • venue or park closures;

  • permit restrictions;

  • labor disruptions;

  • widespread supply-chain disruptions;

  • equipment or infrastructure failures not caused by the Company's negligence; or

  • other events that could not reasonably have been prevented or avoided through reasonable efforts.

The Gathering Nook will make commercially reasonable efforts to mitigate the effects of such circumstances and, when reasonably possible, offer rescheduling or another appropriate remedy.

13. PAYMENT PROCESSING FEES

Where a refund is otherwise permitted under this Policy, The Gathering Nook may deduct payment-processing fees or transaction charges actually incurred by the Company that are not returned or refunded by the applicable payment processor, to the extent permitted by applicable law.

The Customer acknowledges that payment-processing fees are third-party transaction expenses and may not be recoverable by The Gathering Nook after a transaction has been processed.

14. CHARGEBACKS AND PAYMENT DISPUTES

Before initiating a chargeback, payment dispute, or other reversal through a bank, credit-card company, payment platform, or financial institution, the Customer agrees to first contact The Gathering Nook at:

The Customer agrees to provide The Gathering Nook with a reasonable opportunity to investigate and resolve any legitimate billing concern.

A Customer's disagreement with this Policy, dissatisfaction with a cancellation outcome, or failure to read the applicable cancellation terms does not, by itself, constitute unauthorized use of the Customer's payment method.

The Gathering Nook reserves all rights and remedies available under applicable law in connection with improper or fraudulent chargebacks or payment reversals.

15. HOW TO CANCEL

Cancellation requests must be submitted directly to The Gathering Nook.

The Customer should include:

  • Customer's full name;

  • reservation date;

  • reservation time;

  • confirmation or booking number, if available;

  • telephone number;

  • email address; and

  • a clear statement that the Customer wishes to cancel the reservation.

The Customer is responsible for ensuring that a cancellation request is actually received by The Gathering Nook.

Sending a message does not constitute confirmation that a cancellation has been processed unless The Gathering Nook receives the message and acknowledges the cancellation or otherwise confirms receipt.

16. REFUND PROCESSING

When a refund is authorized under this Policy, The Gathering Nook will generally issue the refund to the original payment method used for the transaction.

The timing of the Customer's receipt of the refund may depend on the payment processor, financial institution, card issuer, or other third party.

The Gathering Nook is not responsible for delays caused by a Customer's financial institution or payment processor after The Gathering Nook has initiated an authorized refund.

17. NO IMPLIED REFUND RIGHTS

Except as expressly stated in this Policy, the Reservation Agreement, or required by applicable law, the Customer is not entitled to a refund merely because the Customer's circumstances, preferences, schedule, plans, transportation, guest list, or personal situation changes after the cancellation period has expired.

Examples include, without limitation:

  • change of plans;

  • change of event date;

  • change in guest count;

  • inability of a guest to attend;

  • transportation problems;

  • personal scheduling conflicts;

  • illness or injury;

  • change of mind;

  • competing event;

  • travel changes;

  • relationship changes; or

  • failure to obtain personal permission to attend.

The Gathering Nook may, in its sole discretion, offer a courtesy accommodation in exceptional circumstances. Any such accommodation is discretionary and does not create a precedent, waiver, modification of this Policy, or continuing obligation to provide the same accommodation in the future.

18. WAIVER AND NO PRECEDENT

The failure of The Gathering Nook to strictly enforce any provision of this Policy on one occasion shall not constitute a waiver of the Company's right to enforce that provision in the future.

Any waiver must be expressly provided by an authorized representative of The Gathering Nook.

A courtesy credit, exception, rescheduling accommodation, partial refund, or other concession shall not modify this Policy or create a continuing right for the Customer or any other customer.

19. SEVERABILITY

If any provision of this Policy is determined by a court or other legally authorized decision-maker to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

The parties intend that an invalid provision be modified or limited only to the minimum extent necessary to make it enforceable, where permitted by law.

20. GOVERNING LAW

This Policy and the Reservation Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles that would require application of another jurisdiction's law, except to the extent that applicable law requires otherwise.

21. ELECTRONIC ACCEPTANCE AND SIGNATURE

The Customer agrees that clicking an “I Agree,” “Accept,” “Book Now,” “Reserve,” “Complete Reservation,” or substantially similar electronic acknowledgment, checking an agreement box, signing electronically, or otherwise affirmatively accepting the Reservation Agreement constitutes the Customer's electronic signature and agreement to this Policy.

The Customer agrees that electronic records, acknowledgments, confirmations, and signatures may be used to establish the existence and terms of the Reservation Agreement.

The parties intend that electronic acceptance have the same legal effect as a handwritten signature to the fullest extent permitted by applicable law.

22. CUSTOMER ACKNOWLEDGMENT

By completing a reservation with The Gathering Nook, the Customer acknowledges and agrees that:

  1. The Customer has read this Cancellation, Rescheduling & Refund Policy;

  2. The Customer understands the 24-hour cancellation period;

  3. The Customer understands that payments become non-refundable after the applicable 24-hour period, except where otherwise provided by this Policy or applicable law;

  4. The Customer understands that rescheduling is subject to availability and is not guaranteed;

  5. The Customer understands that outdoor events may be affected by weather and location restrictions;

  6. The Customer understands that certain products and services may be purchased or arranged specifically for the reservation;

  7. The Customer understands that cancellation may result in financial losses to The Gathering Nook;

  8. The Customer has had the opportunity to ask questions before completing the reservation; and

  9. The Customer voluntarily agrees to be bound by this Policy and the applicable Reservation Agreement.

23. ENTIRE AGREEMENT

This Policy, together with the applicable Reservation Agreement, booking confirmation, invoice, package terms, add-on terms, and any other documents expressly incorporated into the reservation, constitutes the agreement between the Customer and The Gathering Nook concerning cancellation, rescheduling, and refunds.

No oral representation, informal conversation, text message, social-media message, or other communication shall modify these terms unless the modification is expressly authorized by The Gathering Nook and documented in writing or electronically.

24. CHANGES TO THIS POLICY

The Gathering Nook may revise this Policy from time to time.

Any revision will apply prospectively to reservations made after the effective date of the revised Policy unless otherwise required by law.

The version of the Policy accepted by the Customer at the time the Customer completed the reservation will govern that reservation, except to the extent a later written agreement expressly modifies the applicable terms or applicable law requires otherwise.
